Terms of Service

Welcome to Battle Rap Global ("Platform," "we," "us," or "our"), operated by Battle Rap Global. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

You must be at least 18 years of age to use this Platform. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

3.1 Subscription Plans

We offer various subscription plans that provide access to premium features and content. Subscription details, including pricing and features, are displayed at the time of purchase.

3.2 Billing and Payment

• Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan)
• Payment is processed through our third-party payment processor, Stripe
• You authorize us to charge your payment method for all fees incurred
• All fees are non-refundable except as expressly stated in our Refund Policy

3.3 Subscription Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• No partial refunds will be provided for unused portions of your subscription

3.4 Price Changes

We reserve the right to modify subscription prices. Any price changes will be communicated to you in advance and will take effect at the start of your next billing period.

4.1 PPV Access

Certain events and content may be available for purchase on a pay-per-view basis. PPV purchases grant you access to view the specified content for the duration indicated at the time of purchase.

4.2 PPV Terms

• PPV access is personal and non-transferable
• You may not share, broadcast, or redistribute PPV content
• Technical issues on your end do not entitle you to a refund
• We are not responsible for content availability after the access period expires

4.3 Promotional Codes

Promotional codes are subject to their specific terms and conditions. Codes cannot be combined, transferred, or redeemed for cash. We reserve the right to modify or cancel promotions at any time.

4.4 Event Tickets

Battle Rap Global may facilitate the sale of tickets to live events organized and hosted by leagues, promoters, or other third-party event organizers. With respect to ticket sales:

• We act solely as a ticketing agent. The applicable league or event organizer is the event host and is solely responsible for event execution, including scheduling, venue, performances, talent appearances, security, and crowd management
• We are not responsible for any cancellation, postponement, rescheduling, change of venue or talent, injury, property damage, or other incident occurring at or in connection with a live event
• If an event is canceled or materially changed, refund eligibility is governed by our Refund Policy and may depend on the event organizer's decisions and timelines
• Tickets are personal and non-transferable except as expressly permitted at the time of purchase
• You agree to comply with all venue rules, applicable laws, and the event organizer's policies
• Streaming access (where bundled with a ticket) is governed by the same restrictions as PPV access in Section 4.2

4.5 Service Fee

A non-refundable-by-itself service fee of 5% is added to the price of all pay-per-view purchases, event ticket purchases, and cart checkouts. This fee helps cover payment processing and platform operating costs.

• The service fee is calculated on the purchase price after any applicable promotional discount, and is included in the total amount shown to you before you confirm payment
• If your order is refunded in accordance with our Refund Policy, the service fee is returned together with the refunded order — it is not retained separately
• The fee percentage may change from time to time; the fee applicable to your purchase is the one displayed at the time you complete that purchase

5.1 Your Content

Our Services may allow you to post, upload, or submit content including comments, videos, images, and other materials ("User Content"). You retain ownership of your User Content, but by posting it, you grant us certain rights.

5.2 License Grant

By posting User Content, you grant Battle Rap Global a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and our business operations.

5.3 Content Representations

You represent and warrant that:

• You own or have the necessary rights to post your User Content
• Your User Content does not infringe any third-party rights
• Your User Content complies with these Terms and all applicable laws
• Your User Content is accurate and not misleading

You agree not to:

• Violate any applicable laws or regulations
• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Post content that infringes intellectual property rights
• Transmit viruses, malware, or other harmful code
• Interfere with the proper functioning of the Services
• Attempt to gain unauthorized access to any portion of the Services
• Use automated systems (bots, scrapers, etc.) without our permission
• Engage in any form of harassment or bullying
• Share your account credentials with others
• Circumvent any access restrictions or security measures
• Record, download, or redistribute PPV or premium content without authorization
• Use the Services for any commercial purpose without our consent

We reserve the right, but are not obligated, to monitor, review, and remove User Content at our sole discretion. We may remove content that:

• Violates these Terms or our Community Guidelines
• Is reported by users and deemed inappropriate
• Infringes intellectual property rights
• Is otherwise objectionable or harmful

Content submitted by league organizers may be subject to an approval process before publication. We are not responsible for any delay in content approval or for content that is not approved.

If you create or manage a league on our Platform ("League Organizer"), the following additional terms apply.

8.1 General Responsibilities

• You are the event host for any live events you organize. Battle Rap Global acts only as a streaming distributor and, where applicable, ticketing agent. You are solely responsible for event execution, including venue, scheduling, performances, security, permits, and crowd management
• You are responsible for all content posted under your league
• You are responsible for managing your league's moderators and their actions
• You agree to comply with all applicable laws regarding events and content
• You agree to respond promptly to copyright, DMCA, and other rights claims related to your content
• You will handle event-level customer service issues (cancellations, scheduling changes, talent substitutions, venue issues) and cooperate with us on any related refund requests
• We may remove or restrict your league for violations of these Terms

8.2 Content Representations and Warranties

By uploading, syndicating, or otherwise making content available on the Platform, you represent and warrant that:

• You own or have all rights, licenses, consents, and permissions necessary to upload, distribute, and authorize our use of the content, including all underlying audio, visual, and performance elements
• You have obtained valid releases from every battler, host, commentator, judge, producer, and other on-camera or audible participant covering the rights granted to us under these Terms
• All music, samples, beats, and other third-party material in the content are properly licensed for the uses contemplated under these Terms, including streaming, distribution, clipping, and promotional use
• The content does not infringe any copyright, trademark, right of publicity, right of privacy, moral right, or other right of any person or entity
• The content does not contain defamatory, obscene, or unlawful material, and complies with all applicable laws and our Community Guidelines
• You will provide proof of clearances, licenses, or releases promptly upon our request
• You maintain insurance appropriate to the events you host (such as general liability coverage and, where applicable, talent and crowd-related coverage), and you will provide evidence of such insurance upon reasonable request

8.3 League Indemnification

You agree to indemnify, defend, and hold harmless Battle Rap Global, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of any representation, warranty, or obligation in these Terms
• Any content you upload, syndicate, or authorize on the Platform, including any claim of infringement of intellectual property, rights of publicity, rights of privacy, or moral rights
• Any failure to obtain or maintain required clearances, licenses, or releases from battlers, hosts, music rights-holders, or other participants
• Your acts or omissions, or those of your moderators, agents, or contractors, in connection with your league
• Any dispute between you and a battler, host, viewer, or other third party

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

9.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Battle Rap Global and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

9.2 DMCA Copyright Policy

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on our Platform infringes your copyright, please submit a DMCA notice to our designated agent. See our DMCA Policy for detailed procedures.

9.3 Repeat Infringers

We may terminate the accounts of users who are determined to be repeat infringers of intellectual property rights.

10.1 Service Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Content Disclaimer

We do not endorse, guarantee, or assume responsibility for any User Content or third-party content. You acknowledge that battle rap content may contain adult language and themes.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Battle Rap Global SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

10.4 Maximum Liability

Our total liability to you for any claims arising from your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10.5 Indemnification

You agree to indemnify, defend, and hold harmless Battle Rap Global, its officers, directors, employees, agents, and affiliates from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Services; (c) your breach of these Terms or any representation or warranty herein; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party right, including intellectual property, publicity, or privacy rights. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. League Organizers are also subject to the additional indemnification obligations in Section 8.3.

11.1 Termination by You

You may close your account at any time by contacting us or through your account settings. Upon closure, your right to use the Services will immediately cease.

11.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include:

• Violation of these Terms
• Violation of our Community Guidelines
• Fraudulent or illegal activity
• Harassment of other users
• Repeated copyright infringement
• Any other conduct we deem harmful to the Platform or community

11.3 Effect of Termination

Upon termination, your license to use the Services is revoked. You will not receive refunds for any prepaid fees. Sections of these Terms that by their nature should survive termination will remain in effect.

12.1 Informal Resolution

Before filing a formal dispute, you agree to first contact us at support@battlerapglobal.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving your notice.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

12.3 Arbitration Agreement

Any dispute arising from these Terms or your use of the Services that cannot be resolved informally shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

12.4 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

We may modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice through the Services or via email.

Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Battle Rap Global regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
